This Site is provided to you without charge as a convenience and for your information only. The content on this Site does not constitute legal advice and is not a substitute for obtaining legal advice from a qualified attorney. By merely providing access to this Site content, we do not warrant or represent that:

You agree that we may, with or without cause, immediately terminate your access to this Site without prior notice. You further agree that injunctive relief, in addition to any other remedies available, may be warranted in order to enforce these Terms and Conditions. You further understand that unauthorized use of this Site may expose you to civil and criminal liability and that we may report violations of these Terms and Conditions to and cooperate fully with the appropriate law enforcement authorities concerning any violations hereof.

6. Third Party Links and Content

We may provide hyperlinks or pointers to other web sites maintained by third parties or may provide third party content on this Site by framing or other methods. The links to third party web sites are provided for your convenience and information only. The content in any linked web sites is not under our control so we are not responsible for the content, including any further links in a third party site. Personal data provided to us will be handled in accordance with our Privacy Policy.

8. By Providing Content, We Do Not Allow You to Use Our Trademarks.

The trademarks, service marks, trade names and logos used and displayed on this Site are our registered and unregistered trademarks. Nothing on this Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, without our written permission. We aggressively enforce our intellectual property rights. The name "Finastra" or any of our logos, company names, trademarks, servicemarks, product names, etc., may not be used in any way, including in advertising or publicity pertaining to distribution of materials on this Site, without prior written permission. You may not use any metatags or any other "hidden text" utilizing Finastra’s name or trademarks without the express written consent of Finastra. 10. You Must Obey Local Laws in Accessing This Site.

We make no representation that content or materials on this Site are appropriate or available for use in your specific jurisdiction. Access to this Site content or materials from jurisdictions where such access is illegal is prohibited. If you choose to access this Site, you do so at your own initiative and are responsible for compliance with applicable local laws. We are not responsible for any violations of law. 13. Third Parties May Have Rights Under This Agreement.

Some of the provisions of this agreement are for the benefit of Finastra and its officers, directors, employees, agents, licensors and suppliers. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

14. Governing Law, Jurisdiction, No Class Actions and Waiver of Injunctive Relief.

A. Governing Law/Jurisdiction. These Terms and Conditions shall be construed in accordance with English law. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Terms and Conditions or your use of this Site shall be the English courts, and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.

B. No Class Actions. To the fullest extent permitted by applicable law, you agree that any and all disputes, claims and causes of action you may have in connection with or related to this Site or these Terms and Conditions will be resolved individually, without resort to any form of class action.

C. WAIVER OF INJUNCTIVE RELIEF. IF YOU CLAIM THAT YOU HAVE INCURRED ANY LOSS, DAMAGES, OR INJURIES IN CONNECTION WITH YOUR USE OF THIS SITE, THEN THE LOSSES, DAMAGES, AND INJURIES WILL NOT BE IRREPARABLE OR SUFFICIENT TO ENTITLE YOU TO AN INJUNCTION OR TO OTHER EQUITABLE RELIEF OF ANY KIND. THIS MEANS THAT, IN CONNECTION WITH YOUR CLAIM, YOU AGREE THAT YOU WILL NOT SEEK, AND THAT YOU WILL NOT BE PERMITTED TO OBTAIN, ANY COURT OR OTHER ACTION THAT MAY INTERFERE WITH OR PREVENT THE DEVELOPMENT OR EXPLOITATION OF ANY WEB SITE, CONTENT, PRODUCT, SERVICE, OR OTHER INTELLECTUAL PROPERTY OWNED, LICENSED, USED OR CONTROLLED BY FINASTRA.

15. Miscellaneous.

A. Customers. The following agreements may be incorporated by reference in an order of products/services from Finastra.  If an Order Request incorporates a document available on this page, the agreement includes the Order Request and all other documents attached to the Order Request.  If an Order Request refers to a document with a revision date no longer available on this page, please contact your sales representative.

B. Severability; Interpretation. If any provision of these Terms and Conditions is for any reason deemed invalid, unlawful, void, or unenforceable by a court or arbitrator of competent jurisdiction, then that provision will be deemed severable from these Terms and Conditions, and the invalidity of the provision will not affect the validity or enforceability of the remainder of these Terms and Conditions (which will remain in full force and effect). To the extent permitted by applicable law, you agree to waive, and you hereby waive, any applicable statutory and common law that may permit a contract to be construed against its drafter.

C. Communications. When you communicate with us electronically, such as via e-mail, you consent to receive communications from us electronically. Please note that we are not obligated to respond to inquiries that we receive. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

D. Investigations; Cooperation with Law Enforcement; Termination; Survival. We reserve the right, without any limitation, to: (i) investigate any suspected breaches of these Terms and Conditions, (ii) involve and cooperate with law enforcement authorities in investigating any matters, (iii) prosecute violators of these Terms and Conditions, and (iv) discontinue this Site, in whole or in part, or terminate your access to it, in whole or in part, including any user accounts or registrations, at any time, without notice, for any reason and without any obligation to you or any third party. Any suspension or termination will not affect your obligations to Finastra under these Terms and Conditions. Upon suspension or termination of your access to this Site, or upon notice from Finastra, all rights granted to you under these Terms and Conditions will cease immediately, and you agree that you will immediately discontinue use of this Site. The provisions of these Terms and Conditions, which by their nature should survive your suspension or termination will survive, including the rights and licenses you grant to Finastra in these Terms and Conditions, as well as the indemnities, releases, disclaimers, and limitations on liability and the provisions regarding jurisdiction, choice of law and no class action.

E. Assignment. We may assign our rights and obligations under these Terms and Conditions, in whole or in part, to any party at any time without any notice. These Terms and Conditions may not be assigned by you, and you may not delegate your duties under them, without the prior written consent of an officer of Finastra.

F. No Waiver. Except as expressly set forth in these Terms and Conditions, (i) no failure or delay by you or Finastra in exercising any rights, powers, or remedies under will operate as a waiver of that or any other right, power, or remedy, and (ii) no waiver or modification of any term of these Terms and Conditions will be effective unless in writing and signed by the party against whom the waiver or modification is sought to be enforced.

G. Right to Modify; Restrictions. We may change, suspend or discontinue any aspect of this Site or service at any time. Finastra reserves the right to change system configurations, product specifications, upgrades, pricing, layouts, options and any other specifications at any time without notice. We may also impose limits or restrictions on certain services, features or content or restrict your access to parts or all of this Site without notice or liability.
